REGISTRATION AGREEMENT
OddLot.net, hereinafter referred to as “OddLot”, provides its service to you, subject to the following Registration Agreement (“Agreement”). 
This is a legal agreement between you, as a buyer or seller, and OddLot.
You must be at least 18 years old to bid.
OddLot, at its sole discretion, may ban from further use any buyer or seller which OddLot believes to have in any way misrepresented itself or any item selling, failed to abide by the Terms and Conditions Agreement, as more fully set forth in the link, “Terms & Conditions” which is incorporated by reference into this Agreement, or conducted any improper auction behavior as determined by OddLot. Any buyer who improperly fails to carry through with a purchase could be banned from any further use and may be subject to additional collection activity.

INTERNET-ONLY AUCTIONS 
Internet only bidding allows you to place a bid for an item prior to the auction lot closing online. In an internet-only auction, there is no live auction. By placing a bid you are entering into a legally binding and enforceable contract. Please keep in mind that you are bidding against other internet bidders.

USE AND REGISTRATION 
Our services are available only to, and may only be used by individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to children (persons under the age of 18) or to temporarily or indefinitely suspended members. If you do not qualify, please do not use our service. If you are registering as a business entity, you represent that you have the authority to bind the entity to this Registration Agreement and any related Agreements incorporated by reference herein. By signing up and opting into our Newsletter, you give OddLot permission to add your name to their mailing list. You can unsubscribe at any time.

REGISTRATION OBLIGATIONS 
In consideration of your use of the Service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the initial registration form (such information being the "Bidder Information") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or OddLot has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, OddLot has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). 

ITEM DESCRIPTIONS
Often, OddLot relies on manufacturers’ descriptions for content. Descriptions of Products advertised on this site may contain errors, omissions, inaccuracies, or outdated information. Further, OddLot does not warrant reliability of any statement or other information displayed or distributed through the site, or in person by an authorized agent or employee. OddLot reserves the right, in its sole discretion, to correct any errors or omissions in product descriptions and in any portion of the site. 
For Consignment items, the seller provides descriptions. We may edit descriptions for obvious inaccuracies, but ultimately it is the bidder's responsibility to judge accuracy or genuineness of any item descriptions. OddLot will not test items for genuineness or functionality, unless specifically noted in the posted item description. All descriptions are believed to be true; inspections are encouraged during normal business hours.

THE WINNING BID PROCESS
The winning bid in an auction will be the highest bid that exceeds any reserve (if a reserve exists). In the case of equal bids, the earliest bid received will be the winning bid. If a higher bid is subsequently withdrawn or removed, then OddLot shall have the right to accept the next highest bid.
After the close of the auction, you will be notified by email of any items you won with an "Auction Invoice" email.
ALL ITEMS on the auction sell subject to the OddLot’s acceptance or rejection of the highest bid. OddLot reserves the right to reject any and all bids. Serious bidders only please. 
Any items not removed from our facility within 30 CALENDAR DAYS of the close of the auction will be considered abandoned and will become the property of OddLot, subject to daily storage fees and liquidated damages offsets.
BUY NOW
A "Buy Now" button, if applicable, will be available on the item detail page and will allow the bidder to purchase the item prior to the auction ending.
QUICK BID
A "Quick Bid" button will be available on the item detail page and will attempt to submit the current built-in minimum bid amount. If another user has a proxy bid that is higher the current quick bid, the current minimum bid will be incremented according to the next highest bid.

PROXY BIDDING
Bids are automatically entered on behalf of the bidder, up to the bidder’s maximum bid amount, for a minimum increment above the next lowest bid (the remainder of the maximum bid is held by the system to be used in the event another user submits a higher bid). If the current bidder is out-bid by another, the current bidder’s bid will be incremented until the current bidder reaches the maximum bid set. 
  Example 1: 
     1. Minimum bid is at $10.00 with an auction requiring $5.00 bid increments. 
     2. Bidder #1 places a high bid for $77.00. 
     3. No other bids are in place, therefore Bidder #1 is high bidder at $10.00. 
     4. Bidder #2 places a bid for $23.00. 
     5. Bids would automatically compete with each other as follows: 
           Bidder #1 - $10 
           Bidder #2 - $15 
           Bidder #1 - $20 
           Bidder #2 - $23 (maximum bid placed) 
           Bidder #1 - $25 (high bid position) 
    The high bid is $25, not $28, because Bidder #2’s bid was exceeded at an increment other than $5. 
  Example 2: 
     1. Minimum is at $10.00 with an auction requiring $5.00 bid increments. 
     2. Bidder #1 places a bid of $77.00. 
     3. No other bids are in place, therefore Bidder #1 is high bidder at $10.00 
     4. Bidder #2 places a bid for $25.00 
     5. Bids would automatically compete with each other as follows: 
           Bidder #1 - $10 
           Bidder #2 - $15 
           Bidder #1 - $20 
           Bidder #2 - $25 (maximum bid placed) 
           Bidder #1 - $30 (high bid position) 
    The high bid is $30, because Bidder #2’s bid was exceeded at an increment equal to $5. 
  Example 3: 
     1. Minimum is at $10.00 with an auction requiring $5.00 bid increments. 
     2. Bidder #1 places a bid of $25.00. 
     3. No other bids are in place, therefore Bidder #1 is high bidder at $10.00 
     4. Bidder #2 places a bid for $25.00 (same amount as Bidder #1) 
     5. Bids would compete with each other as follows: 
           Bidder #1 - $10 
           Bidder #2 - $15 
           Bidder #1 - $20 
           Bidder #2 - $25 
           Bidder #1 - $25 (high bid position) 
    The high bid is $25 with Bidder #1 still in high bid position, because Bidder #1 placed the $25.00 bid before Bidder #2. 
*A Buyer’s Premium and state Sales Tax will be added to any winning bid amount at closing.  

CLOSING TIMES
All times based on Eastern Standard Time.
Posted closing times and displays of OddLot’s current time are approximate. OddLot reserves the right to close early or extend auctions at any time at its discretion. It is strongly recommended that bids be placed early to avoid losing out due to an ill-timed or last-minute bid. 
OddLot auctions also have an auto extend feature. When a bid is placed in the final 10 minutes of the auction the bidding will automatically be extended 6 minutes from the time the bid was placed. The auto extend feature remains active until no further bids are received within a 10-minute period.

PAYMENT INFORMATION
Currency is in US Dollar. All billing and payments are subject to the “Terms & Conditions” Agreement, which is incorporated by reference herein.
If you are a successful bidder, you are responsible for paying any buyer's premium, taxes and duties (including any VAT, sales tax and import duties) that may be imposed on the final price paid for an Item. Accordingly, it is your responsibility to check the applicable taxes and duties that may be imposed on an Item prior to bidding for it.
A Buyer's Premium will apply to all auction invoices. A buyer's premium is a percentage added to the winning bid amount payable by the buyer used to help cover the auction's administrative costs. This buyer’s premium varies from 5-18%, depending on the auction, but for most items, it is set at 10%. The actual buyer’s premium in effect will be noted on the additional information page. You will see this additional information page when you click on the auction item to view the description of the item that you will be bidding. 
Sales Tax: Michigan 6% sales tax applies to all in-state invoices unless a valid Resale Tax Exemption form is placed on file with our office. NOTICE: Out-of-state buyers and out-of-country buyers must pay sales tax on all items including titled items (Unless stated differently in the auction terms).
A valid credit card will be required to register for our auctions. To protect the integrity of the auction for everyone, you will need to submit a valid credit card. Payment can still be completed in person with cash or credit/debit card during pick-up days for this auction. 
In most cases, PayPal's "Website Payments Standard" service is available as a checkout option. This payment method redirects users to PayPal's website to complete the payment and then redirects back to your website afterwards. All other cases will require the winning bidder to pay, cash or credit card, and pickup their item from the OddLot retail center described in the item auction.

PAYMENT POLICY 
Unpaid items not picked up within 10 CALENDAR DAYS of the close of the auction will be charged a $2.00 per day, per item storage fee, with a maximum storage fee of $40.00 (20 days). Any items not removed from our facility within 30 CALENDAR DAYS of the close of the auction will be considered abandoned through a breach of contract legal theory and will become the property of OddLot, subject to daily storage fees and liquidated damages offsets. Paid items will be stored at no cost to the buyer for a reasonable time as determined by OddLot.
Bidder agrees not to pursue charge-backs on any credit card payments. If your card on file is declined for any reason, you'll have until end of business day of the 10th day to complete payment online, over the phone, or in person.  
*Please note: By registering and bidding, you are agreeing that you fully intend to pay for and pick up any items/lots you win. 

REMOVAL TIMES
Removal, Failure to Remove and/or Failure to Pay: All purchases must be removed from the auction site without damaging any property and within the time announced or posted. All costs, responsibility and risk of such removal shall be borne by buyer and, in every case; buyer will use prudence and care in such removal. If for any reason buyers fail to remove any of buyer purchases within the time specified, OddLot shall have the right but not the obligation, in its sole discretion, to resell, discard or remove and store said purchase at buyers sole risk and expense (storage costs will be charged - per day - per item), without waiving any rights that OddLot or seller may have against buyer. Storage charges will be the responsibility of the buyer. If the purchases have not been paid in full and removed within the time period stated above, BIDDER explicitly authorizes the charging of his or her credit card for storage and/or a liquidated damages fee, which are applied when bidder/buyer’s invoice(s) are not paid in full within 30 days of auction date.

LIQUIDATED DAMAGES FEE 
BIDDER explicitly authorizes the charging of his or her credit card for the liquidated damages fee which is applied when bidder/buyer’s invoice(s) are not paid in full within 30 days of auction date. Liquidated damages fee will equal the greater of $25 or 10% of total purchase price (bid price, plus buyer’s premium). Liquidated damages fee is assessed based on damages to be recovered by OddLot; although actual damages are difficult to ascertain because of risk and costs associated with re-listing an item, and in certain circumstances, needing to physically relocate an item.

INJURY & DAMAGE
Bidder acknowledges responsibility for any personal injury or property damage caused by Bidder or his Agent, and further agrees to hold OddLot, Owners, its Officers, or Employees harmless for any personal injury to himself or his Agents and any property damage incurred on auction premises by Bidder.

PRIVACY 
We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent and we only use your information as described our Privacy Policy.

COPYRIGHT 
All material and content as provided by OddLot is protected by copyright and similar rights, subject to the Intellectual Property Rights section of the “Terms & Conditions” Agreement, which is incorporated by reference herein.

LEGAL COMPLIANCE 
You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our service and your bidding on, listing, purchase, solicitation of offers to purchase, and sale of items. 

GENERAL INFORMATION 
This Agreement constitutes the entire agreement between you and OddLot and governs your use of the Service, subject to the “Terms & Conditions” Agreement incorporated by reference. This Agreement supersedes any prior or contemporaneous agreements between you and OddLot. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based on or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. This Agreement, all related Agreements referenced herein, and the relationship between you and OddLot shall be governed by the laws of the State of Michigan without regard to its conflict of law provisions. You and OddLot agree to submit to the personal and exclusive jurisdiction of the courts located within the County of Oakland, Michigan. The failure of OddLot to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to Use of the Service or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.

MODIFICATIONS TO AGREEMENT
OddLot may revise this Agreement at any time and you agree to be bound by the revised Agreement. Any such modifications will become effective on the date they are first posted to this site. It is your responsibility to return from time to time to review the most current Agreement. ODDLOT does not and will not assume any obligation to notify you of changes to this Agreement.
